Rules for project delivery and commercial cooperation.
These Terms of Service describe the general framework under which Freelance Experts LLC provides software-related services to business clients. Specific commercial details may be supplemented or replaced by a signed proposal, statement of work, or contract.
1. Service scope
Freelance Experts LLC provides custom software development, system integration, maintenance and support, and technical consulting services for B2B clients.
This website is informational only. No binding purchase is completed through the website, and no online checkout is offered here.
2. Client onboarding and agreements
Work begins only after the parties agree on the relevant scope, timeline, and billing terms in writing. This may take the form of a proposal, contract, or statement of work.
If a separate agreement contains provisions that differ from these Terms, the separate agreement takes precedence for that engagement.
3. Roles and responsibilities
Freelance Experts LLC is responsible for performing the agreed services with reasonable professional care and in accordance with the defined scope.
The client is responsible for providing timely access to required systems, data, approvals, credentials, feedback, and decision-makers needed to perform the work.
4. Client materials and instructions
The client is responsible for the accuracy, legality, and completeness of any materials, data, specifications, brand assets, or instructions provided for the project.
Freelance Experts LLC may rely on client-provided information unless the parties agree otherwise in writing.
5. Delays and dependencies
Delivery timelines depend on the client meeting review, approval, access, and input obligations on time. Delays caused by missing dependencies, changed scope, or third-party systems may extend the project schedule.
Freelance Experts LLC is not responsible for delays caused by the client, third-party vendors, force majeure events, or circumstances beyond reasonable control.
6. Fees, invoices, and payment terms
Fees are stated in the applicable proposal or contract. Billing may be milestone-based, time-based, or structured as otherwise agreed.
Invoices are issued according to the contract. If a payment link is ever included in an invoice, that payment flow is handled outside this website and may be processed by a third-party payment provider.
7. Intellectual property
Unless a separate agreement states otherwise, ownership in custom deliverables created specifically for the client transfers upon full payment of all amounts due for the relevant work.
Freelance Experts LLC retains ownership of its pre-existing materials, templates, know-how, libraries, frameworks, and reusable components. To the extent such items are embedded in deliverables, the client receives a non-exclusive license sufficient to use the deliverables for their intended business purpose.
8. Limitation of liability
To the maximum extent permitted by law, Freelance Experts LLC is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption.
Any direct liability is limited to the amount actually paid by the client for the services giving rise to the claim, unless a signed agreement states a different limit.
9. Governing law and forum
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules.
Any dispute that cannot be resolved amicably shall be submitted to the courts having competent jurisdiction in Wyoming, unless a separate written agreement provides another forum.
